1. All Board member positions will have a two-year term.

These By-Laws may be amended at the first meeting annually by the Board of Directors. Any changes to the By-Laws shall be published on the Central Florida Sea Hawkers Website.
The above and foregoing By-Laws were duly adopted by at least a sixty (60%) vote of the Board as the By-Laws of the Central Florida Sea Hawkers on the 6th Day of January, 2018.
- Membership
A. Dues paying members shall have full access to Central Florida Sea Hawkers events, and Sea Hawker benefits. Once paid, membership dues are non-refundable. Central Florida Sea Hawkers membership is revocable at the discretion of the Board. As quoted by Central Council for the Sea Hawkers on October 02, 2018 “A chapters leadership board has the right to deny membership to individuals, if they are believed to have negative impact on the chapters operations and functions” -Paul Gates. - Chapter Dues and Enrollment
A. The annual dues of members shall be established by the By-Laws of the Sea Hawkers Central Council. Dues are currently $15.00 for a single membership and $25.00 for a household membership. Membership dues paid online, or with a credit card, will incur an additional $1.50 service charge.
B. Members’ dues are due with initial application and at time of renewal of membership. Membership is by the football calendar (March through February). Members joining after 1 November of a given year are paid for the remainder of that year and the following football calendar. Renewals not paid by March 31st will be dropped from the membership list until paid. - Meetings
A. Meetings will be held at the discretion of the board.
B. The place and time of Central Florida Sea Hawkers meetings shall be announced to members with appropriate notice.
- The business and property of the chapter shall be managed by the Executive Board of Directors (here after referred to as the Directors). The Directors shall consist of four (4) members. The Board will also include two (2) at large board members and a liaison from the Space Coast area.
- The Board will annually announce the slate of officers every January.
- The Directors shall meet at least twice a year to manage the chapter’s affairs outside of regular meetings. These meetings shall be called as per Article I, Section III.
- At Board meetings, three (3) Directors shall be present to constitute a quorum. Each Director shall possess one vote. Voting by proxy shall not be allowed.
- Any Director who is absent from three (3) consecutive Board meetings may be removed from the Board by a majority vote of the Directors. This vote of removal must be taken within one month of the third meeting from which the Director was absent.
- Any vacancy occurring on the Board shall be filled by the recommendation of remaining Directors for the remaining term of the Director being replaced.

- The Directors shall establish and disband permanent committees, as may be appropriate. The Directors will set forth the duties and responsibilities of each committee. The President shall appoint the chairperson(s) of such committee.
- The President may create and fill temporary committees as may seem appropriate to accomplish the objectives of the chapter.
- The President shall not serve for more than two (2) consecutive terms.
- President – The President shall be the chief executive officer of the Central Florida Sea Hawkers and its Board and shall preside at all their meetings. He/She shall have the general and active management of the Central Florida Sea Hawkers and its Board; may execute all instruments in their behalf; and shall see that their business and policy is carried into effect. He/She shall be an ex-officio member of all committees and have such other powers and perform such other duties as is usually inherent to such office.
- Past President – The Past President shall act as an advisor to the current President, and aides in the transition process. The Past President can preside over meetings at the discretion of the current President.
- Treasurer – The Treasurer shall receive and be accountable for all General Funds belonging to the Central Florida Sea Hawkers. He/She shall deposit all such funds in the name of the club in such depository as the Board may direct. He/She shall disburse such funds as the Central Florida Sea Hawkers or its Board may direct and shall sign all checks together with such other officer as the Board may direct. He/She shall keep accurate books and records, provided by and belonging to the Central Florida Sea Hawkers, of all receipts and disbursements and report the financial status of the Central Florida Sea Hawkers at each meeting.
- VP Membership – He/She shall have the primary responsibility of organizing and coordinating a Central Florida Sea Hawker membership recruitment program. Maintain membership list of current members, including mailing list to be utilized by the Communications Board member, maintain addresses for Board members, chapter members and board members of the Sea Hawkers Central Council representatives. Keep the board and V.P. Membership Sea Hawker Central Council informed on a monthly basis of changes, including sending out monthly membership updates no later than the last day of each month.
- Board Member – Communications – He/She shall be responsible for updating the Central Florida Sea Hawkers website as directed by the President and other board of directors members. They shall assist the President and other board members to send out mass communications to members as needed.

Article IV – Chapter Funds
- The funds of the Central Florida Sea Hawkers must be deposited in the chapter name in a financial institution approved by the Board of Directors. At least two current Directors must have authority to deposit/transfer/withdraw funds.
- The Central Florida Sea Hawkers shall affiliate with the Sea Hawkers Central Council and other Sea Hawker chapters recognized by the Sea Hawkers Central Council. The Central Florida Sea Hawkers Board of Directors may appoint representatives to attend Central Council meetings, as necessary. They may only take part in the discussion of agenda items, but have no vote.
- The Board of Directors is authorized to submit dues from the Central Florida Sea Hawkers funds each year to the Central Council. The amount of dues is to be determined by the Central Council and consistent with the amount paid by other Away Sea Hawker Chapters. Dues to Central Council are currently $100.00.
Article VI – Dissolution
- The Central Florida Sea Hawkers shall be considered “dissolved” when it is considered inactive by Sea Hawkers Central Council or has less than fifteen (15) active members.
- Upon dissolution, all property of the Central Florida Sea Hawkers shall be forfeited to the Sea Hawkers Central Council or to charity. The remaining members of the Central Florida Sea Hawkers would direct Central Council to this decision.
